1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether acting individually or on behalf of an enterprise entity, “Client”, “You”) and Smart Vertex Base Co., Ltd. (“Smart Vertex Base”, “Company”, “We”, “Us”), regarding the access to and use of the website smartvertexbase.click and any related professional attribution advisory, auditing, and consulting services.

By accessing our website, requesting an audit quotation, or executing a Statement of Work (SOW) with Smart Vertex Base, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Advisory Services & Scope of Work

Smart Vertex Base provides specialized technical consulting, measurement pipeline audits, SKAdNetwork schema modeling, and incrementality experimental design for mobile applications.

All advisory engagements are governed by individual Statements of Work executed between the Company and the Client. The SOW defines the specific deliverables, data ingestion requirements, project milestones, delivery timelines, and associated professional fees.

The informational content published on our website, blog, and pricing guide is provided for informational and scoping purposes and does not constitute a formal binding commercial offer until incorporated into an executed SOW.

3. Client Data Ingestion & Non-Disclosure

In order to conduct attribution diagnostics, the Client may provide sample postback data, configuration exports, and aggregated analytics reports.

1. Non-PII Principle: The Client agrees not to provide Smart Vertex Base with any end-user Personal Identifiable Information (PII) including names, government identity numbers, payment card numbers, or plain-text email addresses. Data shared shall consist exclusively of pseudonymous identifiers (e.g., IDFV, internal masked user keys, advertising partner click IDs) and aggregated campaign metrics.
2. Confidentiality: Smart Vertex Base treats all client campaign data, cost metrics, and architectural configurations as strictly confidential. Confidential data is retained only for the duration necessary to complete the audit and is permanently purged upon engagement sign-off.
3. Mutual NDA: Formal bilateral non-disclosure agreements precede any access to client MMP environments or data warehouses.

4. Intellectual Property Rights

1. Company Materials: All intellectual property rights in the website, methodology frameworks, diagnostic algorithms, proprietary calculation templates, and published guides remain the exclusive property of Smart Vertex Base Co., Ltd.
2. Client Deliverables: Upon full payment of the agreed engagement fees, the Client receives an irrevocable, perpetual, worldwide license to use, modify, and implement all custom diagnostic reports, conversion value schema configurations, and architecture blueprints produced specifically for the Client under the applicable SOW.

5. Professional Fees & Payment Terms

1. Invoicing: Engagement fees are invoiced according to the milestone schedule specified in the SOW (typically 50% deposit upon kickoff and 50% upon deliverable presentation).
2. Payment Currency: Fees are payable in United States Dollars (USD) or Thai Baht (THB) equivalent via international bank wire transfer (SWIFT).
3. Late Payments: Outstanding balances not settled within thirty (30) calendar days of invoice issuance may incur interest at a rate of 1.5% per month or the maximum rate permitted by law.

6. Limitation of Liability

To the maximum extent permitted under applicable law:

• Smart Vertex Base provides advisory recommendations and technical diagnostics based on the data and configurations made available by the Client. Because third-party ad networks and platform operators (such as Apple and Google) frequently alter their proprietary privacy algorithms and APIs, Smart Vertex Base makes no guarantee of specific advertising return on ad spend (ROAS) or user acquisition volume.
• In no event shall Smart Vertex Base, its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data corruption, or business interruption.
• The total aggregate liability of Smart Vertex Base arising out of or related to any engagement shall be limited to the total fees actually paid by the Client to Smart Vertex Base under the specific Statement of Work giving rise to liability.

7. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Kingdom of Thailand (TH), without giving effect to any choice of law rules.

Any dispute, controversy, or claim arising under or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Chonburi Province / Bangkok, Kingdom of Thailand.

8. Modifications to Terms

Smart Vertex Base reserves the right to revise these Terms at any time by updating this document on our website. The “Last updated” date at the top of this page indicates when revisions took effect. Continued use of our website following any modification constitutes acceptance of the revised Terms.
